PART 2: DIRECTORS
DIRECTORS’ POWERS AND RESPONSIBILITIES
Directors’ general authority
Subject to the Companies Act and the articles, the directors:
(a)
shall manage the company’s business; and
(b)
may exercise all the powers of the company for any purpose connected with the
company’s business.
Members’ reserve power
(1) The members may, by special resolution, order the directors to act, or refrain from
acting, in a particular way
(2) No such special resolution shall invalidate anything which the directors have already
done.
DECISION-MAKING BY DIRECTORS
Directors to take decisions collectively
(1) This article applies to any matter in respect of which the directors have not delegated
their powers and responsibilities to a single director.
(2) Subject to the articles, the directors must not act in relation to any such matter unless
they have taken a decision about it:
(a)
at a directors’ meeting, or
(b)
in the form of a directors’ written resolution,
in accordance with the articles.
Calling directors’ meetings
(1) Any director may call a directors’ meeting.
(2) The company secretary shall call a directors’ meeting if a director so requests.
(3) A meeting is not called unless reasonable notice of it has been given, indicating its
proposed date, time, place and subject matter.
(4) Notice must be given to all the directors, except those:
(a)
to whom it is not possible to give reasonable notice; or
(b)
who waive their entitlement to notice, prospectively or retrospectively.
(5) Notice of a directors’ meeting need not be given in writing.
(6) The reasonableness of any notice period shall be determined by reference to:
(a)
the urgency and importance of the meeting’s subject matter; and
(b)
individual directors’ ability to receive notice of or participate in the meeting.
Quorum for directors’ meetings
(1) At a directors’ meeting, unless a quorum is participating, no proposal shall be voted on,
except a proposal to call another meeting.
(2) The quorum for directors’ meetings may be fixed from time to time by:
(a)
a decision of the directors, or
(b)
an ordinary resolution,
but it shall never be less than two, and unless otherwise fixed it shall be two.
(3) Subject to the articles, a director who is interested in an actual or proposed transaction
or arrangement with the company shall not be counted as participating in any directors’
meeting, or part of a directors’ meeting, relating to that transaction or arrangement.

PARTE 2: CONSEJEROS
FACULTADES Y RESPONSABILIDADES DE LOS CONSEJEROS
Competencia general de los consejeros
Conforme a lo dispuesto en la Companies Act y en los estatutos , los consejeros:
(a) gestionarán los negocios de la sociedad; y
(b) podrán ejercer todos los derechos societarios para cualquier fin relacionado con el negocio de la sociedad.
Competencias reservadas a los socios
(1) Los socios podrán, mediante resolución especial, ordenar una actuación concreta por parte de los consejeros, u obligarles a abstenerse de realizar una acción determinada.
(2) Este tipo de resoluciones especiales no podrán invalidar ninguna de las actuaciones previas por parte de los consejeros.
TOMA DE DECISIONES POR PARTE DE LOS CONSEJEROS
Toma de decisiones colectiva por parte de los consejeros
(1) Este estatuto se aplica a cualquier asunto para el cual los consejeros no hayan delegado sus facultades y responsabilidades en un único consejero.
(2) Conforme a los estatutos, los consejeros no deben actuar en relación con ningún asunto de este tipo, a menos que se haya tomado una decisión al respecto:
(a) en una reunión del Consejo, o;
(b) mediante resolución escrita por parte de los consejeros,
de conformidad con los estatutos.
Convocatoria de reuniones del Consejo
(1) Todos los consejeros pueden convocar una reunión de los consejeros.
(2) El secretario o la secretaria de la sociedad deberá convocar la reunión de los consejeros si así lo solicita un consejero.
(3) Podrán convocarse reuniones siempre y cuando se haya cursado notificación con antelación suficiente , indicando la fecha propuesta, la hora, el lugar de reunión y los asuntos que deban tratarse.
(4) Se deberá cursar notificación a todos los consejeros, excepto a:
(a) aquellos a quienes no sea posible notificar la convocatoria con la suficiente antelación, o;
(b) aquellos que hayan renunciado a su derecho de notificación, de manera prospectiva o retrospectiva.
(5) La notificación de las reuniones de los consejeros no necesita cursarse por escrito.
(6) La suficiencia de antelación del periodo de notificación se determinará según:
(a) la urgencia e importancia del asunto que tratar en la reunión, y;
(b) la capacidad individual de los consejeros de recibir la notificación de la convocatoria de reunión o de participar en ella.
Quórum de asistencia en las reuniones de los consejeros
(1) En caso de no existir quórum de asistencia en las reuniones de los consejeros, no podrá votarse ninguna propuesta, excepto la propuesta de convocatoria de otra reunión.
(2) El quórum de asistencia para las reuniones de consejeros podrá determinarse cada cierto tiempo mediante:
(a) decisión de los consejeros, o;
(b) resolución ordinaria,
si bien no deberá ser menos de dos y, salvo que se determine de manera contraria, habrá de ser de dos.
(3) Conforme a los estatutos, en caso de que un consejero tenga interés propio en una operación o un acuerdo existente o en fase de propuesta con la sociedad, el consejero afectado no podrá computarse como participante en las reuniones de consejeros, o en parte de estas reuniones, cuando estas sean relativas a dicha operación o acuerdo.

I have worked mainly as a localization translator and reviewer for more than 15 years, but in the recent last 3 years I have moved more towards legal translation, as I realized that this was the field that I really found challenging and exciting.
I am a sworn translator named by the Spanish Ministry of Foreign Affairs in 1999, and since then I have produced many sworn translations of all kinds of certificates and official documents. This type of work led me slowly to legal translation, which is currently my main interest.
I continue to train and seek to know more deeply the legal sector by attending seminars, courses and workshops related to this field. The legal sector is huge, the language is complicated and the responsibility is sometimes quite important, so you need to take in as much knowledge as possible, and seriously love the challenge!
