Definities
Groepsmaatschappijen:
De rechtspersonen als gedefinieerd in artikel 2:24b BW, waaronder ten deze ook uitdrukkelijk wordt verstaan zustervennootschappen met in meerderheid dezelfde aandeelhouders, de moedervennootschap(pen) van partijen, voorzover deze moedervennootschappen overwegende zeggenschap hebben in partijen.
Rechtsvorm, oprichting
Partijen verbinden zich jegens elkander over te gaan tot de oprichting van een besloten vennootschap met beperkte aansprakelijkheid.
De onderneming zal de naam xxx dragen, tenzij op grond van de bepalingen van de Handelsnaamwet daartegen bezwaren zullen blijken te bestaan.
De Vennootschap zal haar zetel hebben te xxx.
De Vennootschap zal zich ten doel stellen het verwerven van (exclusieve rechten op) en het ontwikkelen en exploiteren van software, alles in de ruimste zin van het woord. Voorts zal de Vennootschap zich toeleggen op het beheer, het onderhoud en de ontwikkeling van de totale ICT infrastructuur (dus hardware en software) van de participanten en aan hen gelieerde bedrijven.

Participatie
Partijen participeren ieder voor 25%. In het Kapitaal zal door ieder der partijen worden deelgenomen voor 4500 Aandelen.
Partijen zullen ieder op de Aandelen het bedrag van € 1,-- per aandeel storten, derhalve ieder € 4.500,--.
Partijen kunnen ten behoeve van de Vennootschap Kapitaal ter beschikking stellen en houden. Het Kapitaal zal in dat geval worden ingebracht ten titel van geldlening. De voorwaarden van geldlening worden in Hoofdstuk 2 van deze Overeenkomst geregeld.
Bestuur van Vennootschap
Statutair bestuurders van Vennootschap zijn bij oprichting van de Vennootschap xxx. Laatstgenoemden zullen ieder zelfstandig bevoegd zijn de Vennootschap te vertegenwoordigen en rechtshandelingen tot € 10.000,00 te verrichten. Boven € 10.000,00 zijn de statutaire bestuurders gezamenlijk bevoegd.
Non-Concurrentie en Relatiebeding
Het is de Aandeelhouders gedurende de duur van deze Overeenkomst alsmede gedurende een termijn van een jaar na de rechtsgeldige beëindiging daarvan verboden om binnen Nederland zelfstandig activiteiten te ontplooien of te doen ontplooien welke direct of indirect bestaan uit het leveren van producten en/of diensten die door de Vennootschap worden geleverd of nog zullen worden geleverd.
Het is de Aandeelhouders gedurende de duur van deze Overeenkomst alsmede gedurende een termijn van een jaar na de rechtsgeldige beëindiging daarvan verboden om opdrachtgevers van de Vennootschap te benaderen hetzij rechtstreeks, hetzij middellijk voor het voor eigen rekening of voor rekening van derden aanbieden van producten en/of diensten gelijk of verwant aan welke die door de Vennootschap worden geleverd of nog zullen worden geleverd of op andere wijze met de betreffende opdrachtgevers zakelijke betrekkingen aan te gaan die op enigerlei wijze schadelijk kunnen zijn voor de onderneming van de Vennootschap of aan haar onderneming gelieerde ondernemingen.
In geval van overtreding van het in lid 1 en/of 2 van dit artikel bepaalde verbeuren de Aandeelhouders aan de Vennootschap een onmiddellijk opeisbare boete van € 50.000, -- per overtreding alsmede een boete van € 5.000, -- voor iedere dag dat de overtreding voortduurt, onverminderd het recht van de Vennootschap om volledige schadevergoeding te eisen.

Definition
Group company: The legal entities as defined in Book 2, Section 24 of the Civil Code, which in this matter specifically include sister companies with for the most part the same shareholders, and the parent company or companies of parties as far as these parent companies have predominant control of parties.
Legal form and formation
Parties bind each other to form a private company with limited liability.
The company will be called PPP, unless it appears that the use of this name is restricted under the stipulations of the Trade Names Act.
The company will have its registered office in QQQ.
The purpose of the company will be to acquire rights and if possible exclusive rights on software and to develop and exploit software, all this in the broadest sense. Furthermore, the company will specialize on managing, maintaining and developing the entire ICT infrastructure (i.e. hardware and software) of the participants and companies associated to them.
The operations of the company will be at the company’s expense as of DD-MM-YYYY.
The authorized capital of the Company will be ninety thousand euros (EUR 90,000). The subscribed capital will be eighteen thousand euros (EUR 18,000). Shares will each have a value of one euro (EUR 1.00).
The deed of incorporation will be written and executed before civil-law notary DDD in ZZZ and parties will cooperate fully on the acts of formation.
Participation
Parties each participate to the amount of twenty-five per cent (25%). Each of the parties will participate in the subscribed capital to the amount of 4,500 shares.
Parties will pay for shares the amount of one euro (EUR 1,00) per share, resulting in the amount of four thousand five hundred euros (EUR 4,500) for each party.
Parties may supply capital to and hold it available for the company. The capital will in this case be provided as a loan. The loan conditions are set out in Chapter two of this agreement.
The board of directors of the company
On formation of company XXX, A, B, C and D will be appointed directors under the articles of association, who will each be authorized to represent the company and perform juristic acts not exceeding ten thousand euros (EUR 10,000). For juristic acts exceeding ten thousand euros (EUR 10,000), the directors will be jointly authorized.
Non-competition and non-solicitation clauses
During the duration of the agreement and during a term of one year after its legally valid termination, shareholders shall not develop nor make develop independent activities that directly or indirectly consist of supplying goods and/or services similar to those that the company supplies or will supply in the future.
During the duration of the agreement and during a term of one year after its legally valid termination, shareholders shall not, either directly or indirectly, approach clients to offer, at their own expense or the expense of third parties, products and/or services that are similar or related to those that the company supplies or will supply in the future, or enter into business relations with said clients which in any way may prejudice the company or companies associated to it.
In the event of an infringement of Paragraphs 1 and/or 2 of this Section, shareholders incur an immediately payable penalty of fifty thousand euros (EUR 50,000) to the company for each infringement, and a penalty of five thousand euros (EUR 5,000) per day during the continuation of the infringement, without prejudice to the right of the company to claim full compensation.

Source text - English President of the ANC and of South Africa, Jacob Zuma, will make the main address followed by ‘100 years in 100 minutes’, a history of the liberation movement in song and dance.
‘It will take all of us down memory lane,’ said Mthembu.
The party needs the celebrations to gloss over the less-shiny side of governing.
Key ally the Congress of South African Trade Unions (Cosatu) has been increasingly critical of the party, particularly on economic policy and corruption.
Cosatu called the period since September 2007 – when Zuma ousted Thabo Mbeki as party president thus paving the way to become country president in 2009 – as the ‘most dynamic and volatile’ period since the first democratic election in 1994. That period, said Cosatu, was characterised by economic shocks, deepening social distress, the ‘massive’ contestation of economic policy with Cosatu pushing for a more developmental agenda, and ‘wild zigzagging’ in political direction. There was also ‘the emergence of a powerful, corrupt, predatory elite’, said Cosatu.
It’s the emergence of that unbridled corruption, particularly the ‘tenderpreneurs’ who use access to the state for self-enrichment, that now overshadows the achievements of a liberation movement which has ruled for nearly 18 years.
There are clear achievements: the National Planning Commission noted in November that since 1994, more than 3 million subsidised housing units have been built, while 97 percent of households have access to water and nearly 75 percent to sanitation and electricity.
Government priorities – including encouraging job creation, infrastructure spending, improving skills and health, fighting crime and corruption – have broad support; it’s how to achieve these that causes disputes.
The struggle for economic survival is the only agenda for many and social grants are crucial.
The official unemployment rate is 25 percent.
‘The monthly real income of the poorest 10 percent of the population increased from R742 in 1995 to R1386 in 2008/09. Whilst for the richest 10 percent it almost doubled increasing from R13 416 to R26 602,’ noted the Presidency’s Development Indicators 2010.
‘We need jobs,’ said a security guard who described an 18-month search for his job. He commutes an hour a day to work a 12-hour shift.
In October, there were 42 526 judgments for debt worth R420 million and the following month another 398 businesses were liquidated.
Corruption drains state resources.
On paper, the government’s commitment to fighting corruption is good with strong laws and crime-fighting units. But the political will to use these effectively often seems lacking, with officials and politicians avoiding prosecution or dismissal.
In October, Parliament heard from prosecutors that up to 20 percent of the state’s procurement budget – up to R30bn a year – is lost to corruption.

Deze periode werd volgens Cosatu gekenmerkt door economische aardschokken, toenemende sociale onrust, hevig verzet tegen het economisch beleid waar de Cosatu een op ontwikkeling gericht beleid tegenover stelde, en de zigzaggende politiek van de regering. Volgens de Cosatu was er ook sprake van de ‘opkomst van een machtige, corrupte, roofzuchtige elite’.
Deze corrupte politici en ambtenaren heten in Zuid-Afrika ‘tenderpreneurs’, omdat zij alle inschrijvingen (‘tender’) voor overheidsopdrachten weten binnen te halen. De opkomst van deze ongebreidelde corruptie overschaduwt de prestaties van een bevrijdingsbeweging die nu bijna achttien jaar aan het bewind is.
Dat er vooruitgang is geboekt, blijkt duidelijk uit een aantal cijfers: de commissie voor nationale planning maakte in november bekend dat er sinds 1994 meer dan 3 miljoen sociale woningen zijn gebouwd, dat van alle huishoudens 97 procent toegang tot drinkwater heeft, en dat 75 procent op riool en elektriciteit is aangesloten.
De voornaamste prioriteiten van de regering – onder andere bevordering van de werkgelegenheid, investeringen in de infrastructuur, verbetering van kennis en gezondheidszorg, en bestrijding van misdaad en corruptie – genieten brede steun, maar over de manier waarop deze doelen moeten worden bereikt ontstaat steeds onenigheid.
Voor veel mensen is het enige wat er toe doet dat zij hun hoofd financieel boven water kunnen houden, en sociale uitkeringen zijn voor hen dan ook van levensbelang.
Het officiële werkloosheidspercentage bedraagt 25 procent.
Officieel gepubliceerde indicatoren geven aan, dat het reële inkomen van de armste tien procent van de bevolking van 742 rand (70 euro) per maand in 1995 steeg tot 1386 rand (ruim 130 euro) in 2008/9, terwijl het inkomen van de rijkste tien procent bijna verdubbelde, van 13.416 naar 26.602 rand (van ongeveer 1270 naar 2520 euro).
‘We hebben banen nodig,’ zegt een veiligheidsbeambte, die er bijna achttien maanden over deed voor hij zijn baan had gevonden. Hij heeft een reistijd van een uur, en een werkdag van twaalf uur.
In oktober kwamen er 42.526 gevallen van wanbetaling voor de rechter met een totale omvang van 420 miljoen rand (bijna 40 miljoen euro). In november werden er 398 bedrijven geliquideerd.
De corruptie zuigt de staatskas leeg.
Op papier ziet de bereidheid van de regering om corruptie te bestrijden er goed uit: er is een strenge wetgeving, en er zijn speciale eenheden voor de bestrijding van de misdaad. Maar de politieke wil om daar effectief gebruik van te maken, schijnt vaak te ontbreken, waardoor ambtenaren en politici aan vervolging en ontslag ontkomen.
