Clause xxx refers to there being no “warranty or guarantee by the Builder”. Even if this might be said not to catch an implied condition, the subsequent discussion of the release and discharge of the Builder’s obligations surely makes the parties’ intentions clear. All that would remain open to the Owner would be a highly technical argument that, although the parties plainly did not actually intend the Builder to take on any liability for the condition of the Vessel (save only by way of the limited guarantee) as a result of transferring title, they failed to have sufficient regard to the operation of the xxxx. I cannot see that such an argument has any real prospects of success before an xxx arbitration tribunal or the xxx Court.
