Obligations pursuant to this Letter of Indemnification are conditioned upon:
(a) one party providing written notice to the other of any claim for indemnification within 30 days after party seeking indemnification has knowledge of such a claim; (b) the party seeking indemnification granting the party providing indemnification full responsibility for the investigation of, preparation for, and defense of, any claim for which indemnification is sought; (c) the party seeking indemnification assisting the indemnifying party, at the indemnifying party’s reasonable expense, in the investigation of, preparation for, and defense of, any claim; and (d) the party seeking indemnification not compromising or settling any such claim without the indemnifying party’s prior written consent.
