L’art. 182 septies L.F., come novellato dalla L. 132/2015, permette alle imprese che versino in uno stato di decozione di imporre, a certe condizioni, ad un numero di creditori rappresentativi di una quota inferiore al 25% del debito bancario il contenuto di accordi volti alla ristrutturazione aziendale.
Tale operazione è possibile nel solo caso in cui il debito verso banche o intermediari finanziari non sia inferiore al 50% dell’indebitamento complessivo dell’impresa.
Nel caso in cui le banche e gli intermediari finanziari aderenti all’accordo rappresentino almeno il 75% dei crediti complessivi, il debitore può richiedere, contemporaneamente all’istanza di omologazione, che l’accordo sia esteso anche ai creditori non aderenti allo stesso, con il limite che le banche e gli intermediari finanziari cui viene imposto l’accordo abbiano interessi economici e posizioni giuridiche omogenee agli aderenti.

Bank debt restructuring: Article 182 Septies (Sub 7) and overcoming the refusal of the dissenting institution
Article 182 septies L.F. (art. 182, Sub 7 of the Bankruptcy Law), as amended by Law 132/2015, allows insolvent companies to impose, under certain conditions, the content of agreements aimed at corporate restructuring on a number of creditors representing a share of less than 25% of the bank debt.
This process is possible only in the event that the debt to banks or financial intermediaries is not less than 50% of the total debt of the company.
In the event that the banks and financial intermediaries participating in the agreement represent at least 75% of the total receivables, the debtor may request, at the same time as the approval application, that the agreement be extended also to non-adhering creditors, with the limitation that the banks and financial intermediaries to whom the agreement is imposed have economic interests and legal positions that are homogeneous to the members.
The legislator has particularly focused on the negotiation phase preceding the agreement under art. 182 septies L.F., so much so as to subjecting the latter to the proper performance of the former.
In fact, it is expressly established that the agreement may also be extended to non-participating creditors in instances where good faith negotiations are guaranteed and all creditors belonging to the categories have been put in a position to participate.
The commitment to ensure transparency and fairness goes so far as assigning to the debtor the task of providing the related advertising obligations to banks and financial intermediaries, which have 30 days from the date of receipt of the notification to file notice of opposition.
Lastly, the supervision of the Tribunal remains constant, which may avail itself of a CTU (Court Ordered Expertise), where it considers the opinion of an expert necessary to ascertain that all the provisions are complied with, and that non-adhering creditors to whom the agreement has been imposed are satisfied at least to a level equivalent to the alternatives that are likely to be viable.

Full-span slats and large-area trailing-edge flaps enable the aircraft to use comparatively short runways. For most transcontinental U.S. missions, 4,000 ft. of pavement is plenty, operators say. The flexible wing provides a softer ride in turbulence than that of many other large-cabin aircraft and the Global 5000 has exceptionally low sound levels.
For the most part, the Global 5000 is reliable. And while Bombardier’s product support has improved considerably over the years, operators say it still is not on par with Gulfstream’s.
Bombardier has increased regular scheduled inspections for the model from 12 to 15 months. Those procedures are relatively inexpensive. Major inspection intervals have been stretched from 96 to 120 and 180 months, but they can cost $800,000-1.2 million. Engine overhauls are slated for 8,000 hr. or “on condition.” Two engine overhauls can run $4 million or more, so it’s best to look for aircraft enrolled in Rolls'Corporate Care engine maintenance program.
Operators say the external baggage door is not well positioned to load the aft luggage bay, requiring some bags to be stuffed in through the aft lav access door after the external door is closed. Additionally, the baggage compartment only has enough capacity for the luggage of 6-8 people.
The Global 5000, being larger, heavier and faster than most direct competitors, also is thirstier — burning 5,000 lb. of Jet-A in the first hour, 4,000 lb. the second hour and 3,000 lb. for the third hour at high-speed cruise. By comparison, the Gulfstream G450 has a narrower cabin cross-section, lower cruise speeds, longer runway requirements and less range, but it offers better fuel efficiency. And the Falcon 900LX also has a smaller cabin, considerably slower cruise speeds and less range, but it boasts the best fuel efficiency of any comparable large-cabin aircraft.
