Source text - Italian Termini della locazione. Le Parti espressamente convengono che la locazione delle Porzioni Immobiliari sopra descritte è a corpo e non a misura, ed include la locazione di tutte le pertinenze ed accessori ed ogni altro elemento necessario per la normale funzionalità, ivi inclusi, a titolo meramente esemplificativo e non esaustivo, qualsiasi muro o colonna non strutturale o non portante, gli impianti elettrici e telefonici fissi, gli impianti sanitari, gli impianti di distribuzione di acqua, riscaldamento, condizionamento e ricambio aria, gli ascensori e montacarichi, i mezzi non rimovibili di sicurezza passiva, i sistemi antincendio (ivi espressamente inclusi gli appositi estintori di percorso), il tutto così come presente nelle Porzioni Immobiliari alla data della consegna (le “Parti Accessorie”, essendo inteso che d’ora in avanti, ai fini del presente Contratto, il termine “Porzioni Immobiliari” includerà le Porzioni Immobiliari unitamente a qualsivoglia Parte Accessoria).
Stato delle Porzioni Immobiliari. La Locatrice dichiara e garantisce quanto segue:
(i) le Porzioni Immobiliari sono nella piena ed esclusiva proprietà, disponibilità e possesso della Locatrice e libere da iscrizioni, trascrizioni pregiudizievoli, privilegi, servitù e vincoli, diritti reali o personali, legali o convenzionali, di terzi (ivi inclusi diritti di prelazione), oneri, limiti e pesi di sorta;
(ii) in relazione alle Porzioni Immobiliari non sono pendenti, né previsti, per quanto a conoscenza della Locatrice, giudizi e controversie per violazione di precedenti accordi, della normativa applicabile (ivi inclusa quella edilizia e urbanistica), degli impegni assunti con il competente Comune e/o ente locale o altra pubblica amministrazione ovvero procedure finalizzate all’espropriazione;
(iii) le Porzioni Immobiliari sono correttamente accatastate, non presentano pericolo di rovina o difetti tali da incidere sulla loro stabilità e uso corrente, sono munite di regolari, validi ed efficaci permessi, autorizzazioni e concessioni richiesti per la loro esistenza ed attuale utilizzazione e sono dotate di impianti a norma e perfettamente funzionanti;
(iv) le Porzioni Immobiliari sono conformi alle norme ambientali ed alle disposizioni vigenti in materia di sanità, igiene e sicurezza in relazione all’uso cui sono correntemente destinate e per il quale verranno utilizzate ai sensi del presente Contratto.
Translation - English Lease agreement. The parties explicitly agree that leasing the Real Estates described above is per aversionem, and includes leasing all appurtenances and any other components necessary for normal operation including but not limited to any wall, non-structural or non-load bearing pillar, electrical systems and landlines, plumbing and drainage, heating, air conditioning and air change, lifts and elevators, non-moving passive safety devices, fire prevention systems (specifically including the appropriate fire extinguisher systems), as is condition in the Real Estates upon delivery. "Additional Units": it being understood that henceforth, for the purposes of this Contract, the term " Real Estates" shall include the Real Estates and any Additional Unit.
Real Estates' condition. The Lessor hereby represents and warrants as follows:
(i) the Lessor has the right to exclusive possession and control of property free of adverse entries and registrations, liens, easements and restrictions, in rem or in personam rights, legal or conventional, of third parties (including first refusal rights), charges, restrictions and burdens of any kind;
(ii) to the knowledge of the Lessor with reference to the Real Estates, there are no pending or foreseeable proceedings and disputes for breach of previous agreements, of the applicable rules (including the housing and town planning law), of the commitments undertaken with the competent Municipality and/or local authority or public administration or other procedures for expropriation;
(iii) the Real Estates are properly stacked, they pose no danger of disrepair or defects that could affect their stability and current use. Property licenses are legal, valid, enforceable, authorized and granted for their existence and current use. Utilities are in compliance with the law and fully functional;
(iv) the Real Estates comply with environmental standards and provisions applicable to health care, hygiene and safety in conformity with the Contract.
